Introduction

These General Terms and Conditions of Sale and Use (hereinafter referred to as the “Terms” or “GTC”) govern the contractual relationship between:

– Vodalis Limited, a company limited by shares incorporated under the laws of England and Wales, registered under number 06053806 with Companies House in England and Wales, with its registered office at 4 Imperial Place, Maxwell Road, Borehamwood, Hertfordshire, England, WD6 1JN, which operates the TaxisGo website (hereinafter referred to as the ‘Supplier’, ‘we’ or ‘TaxisGo’),

and – any natural person of legal age or legal entity who subscribes to the Service, accesses the Website or creates an account on it (hereinafter referred to as the “Customer”, “User” or “You”).

Use of the Service implies full, complete and unconditional acceptance of these Terms and Conditions. The Customer confirms that they have read them prior to any subscription. In the event of non-acceptance, the Customer must refrain from using the Service. The Service is intended for an international clientele, in particular residents of the United Kingdom and the Member States of the European Economic Area. These Terms and Conditions apply equally to all Customers, without prejudice to the application of mandatory consumer protection provisions in force in their country of habitual residence, as defined in Article 18.

Article 1 — Definitions

For the purposes of these Terms and Conditions, the terms set out below have the following meanings:

– Service: access to the TaxisGo connected platform for the automated booking of authorised taxi journeys, journey status notifications and the digital services included in the subscription: eSIM, digital newsstand and private hire vehicle fare comparison tool.

– Website: the website accessible at https://www.taxisgo.net and all its subdomains.

– Account: the personal area created by the User upon registration.

– Subscription: the recurring subscription to the Service that provides access to all features.

– Trial period: the first 24 hours at the promotional rate of €1.

– Consumer: any natural person acting for purposes unrelated to their commercial, industrial, craft, professional or agricultural activities.

– Journey: a single taxi journey booked via the Service, identified by the booking code issued at the time of the request.

– Taxi operator: any authorised taxi driver or taxi company, independent of TaxisGo, which actually carries out a journey booked via the Service. – Fare: the price of the journey itself, set by the Taxi Operator in accordance with the locally applicable regulated fares and paid by the Customer directly to that operator. The Fare is never charged by the Provider and is not included in the Subscription.

– Party/Parties: the Supplier and/or the Customer.

Article 2 — Purpose

These Terms and Conditions set out the terms on which the Supplier provides the Customer with access to the automated taxi booking platform, journey notifications and the digital services included therein, in return for payment of a subscription fee.

TaxisGo is an independent booking and brokerage service. The Provider is neither a taxi operator, nor a carrier, nor a transport company. It does not directly transport passengers, does not own vehicles, does not employ drivers and does not set journey fares. Journeys are carried out by independent, fully licensed taxi operators; the subscription covers only the cost of access to the automated booking platform and the digital services included, and never the cost of the journey itself.

Article 3 — Legal capacity and registration

3.1 Legal capacity. The Service is reserved for natural persons who have reached the age of majority in their country of residence and who have full legal capacity to enter into contracts, or for legal entities acting through a duly authorised representative. The User warrants that the information provided at the time of registration is true and accurate.

3.2 Account creation. Registration involves: providing accurate, complete and up-to-date information; creating login details (email address and password); and expressly accepting these Terms and the Privacy Policy. The Customer is solely responsible for the confidentiality of their login details and for any activity carried out via their account. They undertake to report any unauthorised use to the Supplier without delay.

3.3 Refusal or suspension. The Supplier reserves the right to refuse registration, or to suspend or close any Account in the event of a breach of these Terms, the provision of incorrect information, fraudulent use of the Service or non-payment.

Article 4 — Description of the Service

4.1 Booking a taxi. Enter your pick-up point, destination and preferred time on the platform. The request is processed automatically and confirmation is sent via text message or email within a few minutes. For an immediate journey, the driver will generally arrive within about 5 minutes. Both immediate and scheduled journeys are supported. The customer receives a booking code when the request is registered and is kept informed of updates on the journey’s status.

4.2 Access to the platform and contact details. The platform is accessible 24 hours a day, 7 days a week. For enquiries regarding their account, subscription or charges, the Customer may email contact@taxisgo.net or use the contact form on the Website.

4.3 Notifications and quotes. Messages regarding the status of a booked journey (driver assigned, journey confirmed, completed or cancelled) are sent to the Customer by email, text message and/or via their personal account. Any information regarding the duration of the journey or the fare amount shown on the website is purely indicative and provided for information purposes only: it is an estimate, not a quote, and is not binding on either the Supplier or the taxi operator.

4.4 Digital services included. The subscription includes an eSIM, a digital newsstand and a ride-hailing price comparison tool, at no extra cost.

4.5 Limitations of the Service. The Service is a booking and assistance service, not a transport service. The ability to arrange a journey depends on factors beyond the Provider’s control, in particular: the availability of authorised taxi operators at the requested time and location; the accuracy of the information provided by the Customer (pick-up and destination addresses, date, time, telephone number); traffic, weather and road conditions; local regulations restricting taxi access to certain areas; and the technical availability of the booking platform. No specific waiting times, vehicle type, driver or fare are guaranteed.

Article 5 — Subscription and prices

5.1 Commercial offer. The current offer is structured as follows: Trial period: €1 (including VAT) for the first 24 hours following subscription. Monthly subscription: €49 (including VAT) per month, charged automatically upon expiry of the Trial Period, unless the Customer cancels it before it expires in accordance with Article 8. Prices are quoted in euros, inclusive of VAT where value added tax (or any equivalent tax) applies. Where applicable, additional taxes provided for by the legislation of the Customer’s country of residence will be applied, in accordance with local regulations. The €1 trial fee is refundable upon request made during the 24-hour trial period by writing to contact@taxisgo.net.

5.2 Automatic renewal. The Subscription is entered into for an indefinite period. At the end of the trial period, and in the absence of cancellation in accordance with Article 8, the Subscription shall be automatically renewed on a monthly basis by tacit renewal. The Customer may cancel at any time without incurring any costs or penalties. Where required by the law applicable to the Customer, the Supplier shall provide, with adequate notice, the required information regarding the terms of renewal and cancellation, in accordance with that law.

5.3 Price changes. The Supplier reserves the right to amend its prices at any time. Any changes will be notified to the Customer by email at least thirty (30) days before they come into effect. The Customer may therefore cancel the Subscription before the new price comes into effect. In the absence of such cancellation, continued use of the Subscription shall constitute acceptance of the new prices.

5.4 Terms of payment. Payment must be made exclusively by credit card via an authorised payment service provider. The Customer expressly authorises the Supplier to automatically charge the amount due on each due date to the registered payment method. In the event of non-payment (card expired, payment declined by the bank, credit limit reached, etc.), the Supplier may immediately suspend access to the Service until the issue is resolved. A formal notice may be sent to the Customer and the account may be permanently closed if the issue is not resolved within fifteen (15) days.

5.5 Payment security. Bank details are never stored on the Supplier’s servers. They are handled exclusively by PCI-DSS-certified payment service providers.

Article 6 — Right of withdrawal (Consumers)

6.1 Principle. Consumer Customers are entitled to the statutory right of withdrawal from the date the contract is concluded. This period is fourteen (14) days for Customers resident in the European Economic Area and the United Kingdom. Where the law applicable to the Customer provides for a more favourable period, that period shall automatically apply. During this period, the Customer may withdraw from the contract without having to provide any reason or incur any costs, except for those provided for in these Terms or by applicable law.

6.2 Request for immediate performance and express waiver. Important — By ticking the relevant box at the time of signing, the Customer: expressly requests the immediate performance of the Service before the expiry of the withdrawal period; expressly acknowledges that they waive their right of withdrawal as soon as the Service has been fully performed by the Supplier with their prior express consent. The Service is deemed to have been fully performed once the Supplier has confirmed the Customer’s first travel booking. This derogation complies with the provisions applicable to service contracts fully performed within the European Economic Area and in the United Kingdom.

6.3 Withdrawal whilst the Service is being performed. Should the Customer exercise their right of withdrawal within the time limit laid down by law, whilst the provision of the Service has already commenced at the Customer’s express request but has not yet been completed, the Customer shall be required to pay an amount proportionate to the Service actually provided up to the time of notification of their decision to withdraw, in relation to the full scope of the services agreed in the contract.

6.4 How to exercise the right of withdrawal. The Customer may exercise their right of withdrawal by notifying the Supplier of their decision by any means that provides proof of dispatch, in particular: by email to contact@taxisgo.net; or by post to the address of the registered office. The notification must be unequivocal. A standard withdrawal form is available on request.

6.5 Refund. In the event of the valid exercise of the right of withdrawal, the Supplier shall refund all sums paid by the Customer, less, where applicable, the proportionate amount referred to in clause 6.3, within a maximum of fourteen (14) days from receipt of the notice of withdrawal. The refund will be made using the same payment method used for the initial transaction, unless the Customer expressly agrees to another method.

Article 7 — The Customer’s Obligations

The Customer undertakes to: provide accurate, complete and up-to-date information (in particular, the pick-up and drop-off addresses, the date and time of the journey, the number of passengers, a telephone number on which they can be contacted and their email address); update this information without delay in the event of any changes; arrive at the agreed pick-up point at the agreed time and remain contactable on the number provided; pay the fare directly to the taxi driver; cancel any journey that is no longer required as soon as possible; behave lawfully and respectfully towards the driver and the vehicle; not use the Service for fraudulent, illegal or inappropriate purposes; not attempt to circumvent, decode, decompile or hack the Service; respect the intellectual property rights of the Provider and third parties; comply with the legislation in force in your country of residence.

The Customer remains solely liable for any consequences arising from incorrect, incomplete or late information, as well as from their absence or unavailability at the pick-up point (waiting charges applied by the taxi operator, cancellation of the journey, missed connections, etc.).

Article 8 — Termination

8.1 Cancellation by the Customer. The Customer may cancel the Subscription at any time, free of charge and without giving any reason, using one of the following methods: via their personal account area (the ‘My Account’ section > ‘Subscription’); by sending an email to contact@taxisgo.net; or by using the dedicated function on the page https://www.taxisgo.net/unsubscribe. The cancellation takes effect at the end of the current monthly period for which payment has already been made. The Customer retains access to the Service until that date. Unless otherwise provided for by mandatory legislation applicable to the Customer, no pro-rata refund will be given for the period that has already commenced. Cancellation prevents any subsequent renewals. If carried out before the end of the trial period, it prevents the monthly subscription fee from being charged.

8.2 Termination by the Supplier. The Supplier may automatically terminate the Subscription, without notice, in the following cases: a material breach by the Customer of their contractual obligations; non-payment not remedied in accordance with clause 5.4; fraudulent or abusive use of the Service; provision of false information. In other cases, the Supplier may terminate the Subscription by giving thirty (30) days’ notice sent by email.

8.3 Consequences of termination. In the event of termination by the Customer, access to the Service shall be deactivated at the end of the period for which payment has already been made, in accordance with clause 8.1. In the event of termination by the Supplier, the terms of clause 8.2 shall apply. The Customer’s data will be retained or deleted in accordance with the Privacy Policy and applicable legal obligations.

Article 9 — Liability

9.1 Duty of care. The Supplier is subject to a duty of care and not to an obligation to achieve a specific result. The Supplier undertakes to take all reasonable precautions to provide the Service in a professional manner and in accordance with industry standards.

9.2 Exclusions of liability. To the extent permitted by applicable law, the Supplier shall not be held liable for any direct or indirect damages arising from: inaccurate, incomplete or belated information provided by the Customer; the Customer’s absence from the pick-up point or their unavailability at that location; the unavailability of a taxi driver at the requested time or location; any act, omission, delay, failure to appear, driving behaviour, condition of the vehicle or dispute over the fare attributable to a taxi driver, who is acting as a self-employed contractor; traffic conditions, weather conditions, road closures or local access restrictions; the loss or theft of personal belongings left on board a vehicle; an event of force majeure as defined in Article 15; or any temporary interruption to the Service for maintenance or technical reasons.

9.3 Limitation of liability. To the fullest extent permitted by the law applicable to the Customer, the Supplier’s total liability to the Customer, on any grounds whatsoever, is expressly limited to the amount actually paid by the Customer under the Subscription during the twelve (12) months preceding the event giving rise to the damage. Under no circumstances shall the Supplier be held liable for indirect, immaterial or consequential damages (in particular loss of opportunity, loss of profit, loss of use or re-routing costs). No provision of these Terms is intended to, nor shall it have the effect of, excluding or limiting the Supplier’s liability in cases where applicable law does not permit such exclusion or limitation, including cases of gross negligence, wilful misconduct, death or personal injury, or any other case where the law prohibits such a limitation.

9.4 Complaints against the taxi operator. Any complaint relating to the journey itself (the driver’s behaviour, the condition of the vehicle, the route taken, the fare charged, items left behind, damage occurring during the journey) must be addressed to the taxi operator who carried out the journey and, where appropriate, to the local transport authority. Upon request, the Supplier will provide the booking details in its possession to assist the Customer in making such a complaint.

Article 10 — Intellectual property

All elements of the Website and the Service — including, but not limited to, the ‘TaxisGo’ trademark, the logo, text, illustrations, photographs, videos, databases, software, source code, interfaces and domain names — are the exclusive property of the Provider or its licensors and are protected by intellectual property laws. Any reproduction, display, modification, publication or exploitation, in whole or in part, is strictly prohibited without the Provider’s prior written authorisation.

The Supplier grants the Customer, for the entire duration of the Subscription, a personal, non-exclusive, non-transferable and revocable licence allowing them to use the Service exclusively for private purposes and in accordance with these Terms and Conditions.

Article 11 — Personal data

The processing of the Customer’s personal data is carried out in accordance with current data protection legislation, in particular the General Data Protection Regulation (Regulation (EU) 2016/679, ‘GDPR’) for Customers resident in the European Economic Area, the UK GDPR and the Data Protection Act 2018 for Customers resident in the United Kingdom, as well as any other applicable local legislation. The detailed terms of such processing operations (categories of data, purposes, retention periods, recipients, transfers outside the EU/UK, the Customer’s rights, etc.) are set out in the Privacy Policy, which forms an integral part of these Terms and Conditions. In particular, the Customer has the right of access, rectification, erasure, restriction, objection, data portability and, where applicable, the right to withdraw their consent and to lodge a complaint with the competent supervisory authority in their country of residence. These rights may be exercised by writing to contact@taxisgo.net.

Article 12 — Cookies

The website uses cookies and other tracking tools; details of these can be found in the Privacy Policy. Customers may set their preferences at any time, in accordance with the legislation in force in their country of residence.

Article 13 — Customer service and complaints

Any complaints may be sent: by email to contact@taxisgo.net; or by post to: Vodalis Limited — 4 Imperial Place, Maxwell Road, Borehamwood, Hertfordshire, England, WD6 1JN, United Kingdom. The Supplier undertakes to acknowledge receipt within a reasonable time and to provide a response as soon as possible.

Article 14 — Amicable settlement and mediation

14.1 Attempt to reach an amicable settlement. In the event of a dispute, the Customer is invited, before taking any legal action, to contact the Supplier’s Customer Services department to seek an amicable settlement.

14.2 Consumer mediation. A Customer acting as a consumer may, in the event of a dispute remaining unresolved following a previous written complaint, resort to consumer mediation or an alternative dispute resolution (ADR) scheme available in their country of residence, in accordance with the applicable legislation. Where required by the legislation applicable to the Customer, the Supplier must specify the body or bodies with which it is affiliated and to which the Customer may submit their complaint.

14.3 Online Dispute Resolution (ODR) platform. For private customers resident in the European Union, the European Commission provides an Online Dispute Resolution (ODR) platform, which can be accessed at: https://ec.europa.eu/consumers/odr.

Article 15 — Force majeure

Neither Party shall be held liable for any failure to fulfil its contractual obligations in the event of force majeure, defined as any external, unforeseeable and unavoidable event that prevents the normal performance of the contract. The following, in particular, are considered to be cases of force majeure: natural disasters, wars, terrorist attacks, epidemics, general strikes, serious malfunctions in telecommunications or energy networks, decisions by public authorities, as well as strikes, blockades or decisions by the competent authorities that prevent authorised taxis from operating.

Article 16 — Amendments to the General Terms and Conditions

The Supplier reserves the right to amend these Terms at any time. Any material changes will be notified to the Customer by email at least thirty (30) days before they come into effect. The Customer may cancel the Subscription before the new Terms come into effect. In the absence of such cancellation, continued use of the Subscription shall constitute acceptance of the new Terms. The version applicable to the Customer is that in force on the date the Subscription was taken out, except for any amendments expressly accepted by the Customer or arising from a legal obligation.

Article 17 — Miscellaneous

17.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between the Parties in relation to the Service.

17.2 Severability. Should any provision be deemed invalid, unlawful or unenforceable under applicable law, this shall not affect the validity of the remaining provisions, which shall remain in full force and effect. The affected Party may request that the invalid provision be replaced with a valid provision having an equivalent economic effect.

17.3 No waiver. The fact that a Party does not enforce a breach of any of the provisions shall not be construed as a waiver of the right to enforce it at a later date.

17.4 Assignment. The Supplier may freely assign this contract to any third party, in particular in the context of a transfer of business, a merger or a similar transaction, without prejudice to the Customer’s rights.

17.5 Languages. These Terms may be available in several languages. In the event of any contradiction or difference in interpretation between the various versions, the English version shall prevail, unless a mandatory provision of law applicable to the Customer provides otherwise.

Article 18 — Governing law and jurisdiction

18.1 Governing law. These Terms and Conditions are governed by English law (the law of the place where the Supplier has its registered office). However, where the Customer is a Consumer, this designation shall not have the effect of depriving them of the protection afforded by the mandatory provisions of the law of their country of habitual residence. In other words, the Consumer Customer continues to benefit from all protective provisions which cannot be contractually waived under the law of their country of residence.

18.2 Jurisdiction. Private customers. A private customer may, at their discretion, submit the dispute to the jurisdiction of: the court of their place of residence at the time the contract was concluded or at the time the event giving rise to the damage occurred; or the court of the Supplier’s registered office (England and Wales). The Supplier, for its part, may bring legal proceedings against a Consumer Customer exclusively before the courts of the Consumer Customer’s country of residence, unless otherwise provided for by applicable law. Business Customer. Any dispute between the Supplier and a customer acting for commercial purposes falls within the exclusive jurisdiction of the courts of England and Wales.
